1. Acceptance of Terms

By accessing or using IVGK Business Cloud and related applications ("Services"), you agree to be bound by these Terms and Conditions. If you do not agree, do not use the Services.

2. Use of Services

You must take a demo or trial before purchasing any paid plan. We encourage you to evaluate the Services to ensure they meet your requirements. Once you make a payment, it is final and non-refundable as per our Refund Policy.

3. Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must ensure that only authorized personnel access your account. We are not responsible for any unauthorized access resulting from failure to safeguard your login credentials.

4. Subscription and Payment Terms

Subscription fees are due as per the selected plan and billing cycle (e.g. annually). Payment is required to maintain access to paid features. Unpaid subscription fees may result in suspension or termination of access. All payments are final and non-refundable as set out in our Refund Policy.

5. No Refund

Payments once made will not be refunded. Please refer to our Refund Policy for full details. We do not provide refunds for any reason, including but not limited to change of mind, partial use, or discontinuation of use.

6. Third-Party Services and Availability

Our Services depend on third-party infrastructure and service providers (including but not limited to cloud providers such as Microsoft Azure, payment gateways, and other vendors). Data storage, availability, and processing depend on third-party infrastructure providers. We do not guarantee uninterrupted availability or error-free operation of the Services.

In case of service outages, downtime, data loss, or failures caused by third-party services or any other cause, no refund will be provided, and we are not responsible for any data loss, business loss, or consequential losses arising therefrom.

7. Acceptable Use

You agree not to use the Services for unlawful, fraudulent, or abusive activities, including but not limited to generating fraudulent invoices, uploading malicious software, attempting to compromise system security, or violating applicable laws or regulations. We may suspend or terminate access for such use.

8. Data Ownership

All business data entered into the system remains the property of the user. By using the Services, you grant us permission to store, process, and transmit such data solely for the purpose of providing and improving the Services.

9. Compliance Responsibility

Users are responsible for ensuring that invoices, tax calculations, GST filings, and accounting records comply with applicable laws and regulations. The Services provide tools only and do not constitute legal, tax, or accounting advice. Please refer to our Disclaimer for further information.

10. Limitation of Liability

To the maximum extent permitted by applicable law, we will not be liable for any losses (direct, indirect, incidental, consequential, or otherwise) incurred while using the Applications or the Services. This includes, without limitation, loss of data, loss of business, loss of revenue, loss of profits, or any other commercial or personal loss. Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Data and Backup

You are responsible for maintaining your own backups of critical data. We are not liable for any data loss due to outages, failures, or actions of third-party providers.

12. Service Modifications

We may modify, update, or discontinue features of the Services at any time in order to improve functionality, maintain security, or comply with legal requirements.

13. Termination

We may suspend or terminate access to the Services if: (a) subscription fees are unpaid; (b) these Terms are violated; or (c) the Services are misused. Users may discontinue use of the Services at any time. Upon termination, the no-refund policy applies and access may be restricted or discontinued.

14. Changes

We may update these Terms from time to time. Continued use of the Services after changes constitutes acceptance of the revised Terms. Material changes will be communicated where practicable.
